API License Agreement

1License Grant

Subject to the terms and conditions of this Agreement, NeuralNets.link ("Licensor," "we," "us," or "our") hereby grants you ("Licensee," "you," or "your") a non-exclusive, non-transferable, revocable license to access and use our API services ("API," "Service") for the purposes outlined in this Agreement.

2Scope of License

2.1 Permitted Uses

Under this license, you are granted the following rights:

✅ Commercial Development Rights:

  • • Build and deploy commercial applications using our API
  • • Integrate our API services into your products and services
  • • Monetize applications that incorporate our API functionality
  • • Use our API for business operations and revenue-generating activities
  • • Resell or distribute applications built with our API

✅ Development and Integration Rights:

  • • Access our API endpoints as documented
  • • Cache API responses for reasonable periods to optimize performance
  • • Transform and process API outputs for your application needs
  • • Combine our API with other services and APIs
  • • Create derivative works based on API outputs

✅ Distribution Rights:

  • • Distribute applications that use our API to end users
  • • Sublicense API-generated content within your applications
  • • Use API outputs in both digital and physical products
  • • Include API functionality in software-as-a-service offerings

2.2 Restrictions and Prohibited Uses

The following activities are expressly prohibited:

❌ Backend and Infrastructure Restrictions:

  • • Access, reverse engineer, decompile, or attempt to extract our source code
  • • Reproduce, copy, or create derivative works of our backend systems
  • • Attempt to circumvent our security measures or authentication systems
  • • Use any means to access our Service other than through our documented API

❌ Redistribution Restrictions:

  • • Redistribute or resell direct API access rights to third parties
  • • Create competing API aggregation services using our infrastructure
  • • Proxy our API services without explicit written permission
  • • White-label our API services under your own branding

❌ Content and Usage Restrictions:

  • • Use our Service to generate illegal, harmful, or offensive content
  • • Create misleading or deceptive AI-generated content without proper disclosure
  • • Generate content that violates intellectual property rights
  • • Use our API for spam, harassment, or malicious activities
  • • Attempt to train competing models using our API outputs

❌ Technical Restrictions:

  • • Exceed documented rate limits or attempt to circumvent usage restrictions
  • • Use automated tools to abuse our Service or impact performance
  • • Share API keys or authentication credentials with unauthorized parties
  • • Attempt to overwhelm our systems with excessive requests

3Intellectual Property Rights

3.1 Our Intellectual Property

  • • We retain all rights, title, and interest in our API, platform, and underlying technology
  • • Our service marks, trademarks, trade names, and logos remain our exclusive property
  • • The structure, organization, and source code of our Service are our trade secrets
  • • This license does not grant you any rights to our proprietary algorithms or models

3.2 Your Intellectual Property

  • • You retain all rights to your original applications and content
  • • You own all rights to the output generated by our API in response to your inputs
  • • Your input data remains your exclusive property
  • • We claim no ownership over applications you develop using our API

3.3 Third-Party Rights

  • • Underlying AI models may be subject to separate licensing terms
  • • You are responsible for compliance with third-party license requirements
  • • We make no warranties regarding third-party intellectual property rights
  • • You must respect the intellectual property rights of others when using our Service

4Data Ownership and Usage Rights

4.1 Input Data

  • • You retain full ownership of all data you submit to our API
  • • You represent that you have all necessary rights to submit your input data
  • • You grant us a limited license to process your input data solely to provide our Service
  • • We do not use your input data to train or improve underlying models without consent

4.2 Output Data

  • • You own all rights to the content generated by our API in response to your inputs
  • • You may use, modify, distribute, and commercialize API outputs without restrictions
  • • We do not claim any ownership rights in API-generated content

5Commercial Use Terms

  • • Persistent abuse may result in service restrictions or termination

6.3 Subscription Compliance

  • • Usage must comply with the terms of your active subscription plan
  • • Overage charges may apply for usage beyond plan limits
  • • Plan upgrades are available to accommodate increased usage needs

7Service Level and Support

7.1 Service Availability

  • • We strive to maintain high availability but do not guarantee 100% uptime
  • • Planned maintenance will be communicated in advance when possible
  • • We provide status updates during service disruptions
  • • Service credits may be available for extended outages as outlined in your plan

7.2 API Support

  • • Documentation and guides are available through our developer portal
  • • Best-effort support is provided through our official support channels
  • • Response times vary based on your subscription plan and issue severity
  • • Community forums provide additional peer-to-peer support

7.3 Versioning and Updates

  • • We may release API updates and improvements over time
  • • Breaking changes will be communicated with adequate notice
  • • Legacy API versions will be supported for reasonable transition periods
  • • New features may be added without prior notice

8Compliance and Legal Requirements

8.1 Regulatory Compliance

  • • You are responsible for compliance with applicable laws and regulations
  • • This includes data protection, privacy, and industry-specific requirements
  • • We provide tools and features to support compliance efforts
  • • Ultimate compliance responsibility rests with you as the licensee

8.2 Content Standards

  • • Generated content must comply with our acceptable use policies
  • • You must implement appropriate content filtering for your use case
  • • Disclosure of AI-generated content may be required by law or ethics
  • • You are responsible for the content generated using our API

9Warranty and Liability

9.1 Service Warranty

  • • Our API is provided "as is" without warranties of any kind
  • • We do not guarantee the accuracy or completeness of AI-generated outputs
  • • Users must validate and verify AI outputs before relying on them
  • • We disclaim all warranties, express or implied, to the fullest extent permitted by law

9.2 Limitation of Liability

  • • Our total liability shall not exceed the fees paid by you in the preceding 12 months
  • • We are not liable for indirect, incidental, or consequential damages
  • • This includes lost profits, data loss, or business interruption
  • • Some jurisdictions may not allow these limitations

9.3 Indemnification

  • • You agree to indemnify us against claims arising from your use of our API
  • • This includes claims related to content you generate or applications you develop
  • • You are responsible for your compliance with applicable laws and regulations

10Term and Termination

10.1 License Term

This API License Agreement remains in effect indefinitely from the date you first access our API and continues for as long as you use our Service, unless terminated in accordance with the provisions below.

10.2 Termination Rights

  • • Either party may terminate this Agreement with appropriate notice
  • • We may immediately terminate for material breaches of this Agreement
  • • You may terminate by discontinuing use and canceling your subscription
  • • Termination does not relieve payment obligations for services already provided

10.3 Effect of Termination

  • • Upon termination, your license rights immediately cease
  • • You must discontinue all use of our API
  • • Certain provisions will survive termination, including intellectual property and liability terms
  • • You may continue using content generated before termination

11Modification and Assignment

11.1 Agreement Changes

  • • We may modify this Agreement with reasonable notice
  • • Material changes will be communicated via email or platform notifications
  • • Continued use after changes constitutes acceptance of modified terms
  • • You may terminate if you disagree with material changes

11.2 Assignment

  • • You may not assign this Agreement without our written consent
  • • We may assign our rights and obligations without restriction
  • • Assignment includes transfer in connection with merger or acquisition

12General Provisions

12.1 Governing Law

This Agreement is governed by the laws of [Insert Jurisdiction], without regard to conflict of law principles.
